1. Introduction

All Intellectual Property rights in and to the Document, including but not limited to the strategic recommendations, technical specifications, SEO audit findings, implementation plans, prototypes, and all original content, are and shall remain the exclusive property of Beyond HNGT Ltd.

3.2 No Transfer of Rights

Nothing in these Terms or your access to the Document shall be construed as granting you any licence, right, title, or interest in the Intellectual Property, whether by implication, estoppel, or otherwise. Access to the Document does not constitute a transfer, assignment, or licence of any rights.

3.3 Third-Party Branding

The Document may utilise branding elements, colour schemes, or visual styling associated with third parties for presentation purposes only. Such use does not transfer any rights in the Document to those third parties, nor does it diminish Beyond HNGT Ltd's ownership of the original intellectual content, methodologies, and recommendations contained herein.

4. Permitted Use

Subject to your compliance with these Terms, Beyond HNGT Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to access and view the Document solely for the Authorised Purpose.

4.2 Scope of Permitted Use

• Discuss the contents internally with authorised colleagues within your organisation who have a legitimate need to evaluate the Document

5. Prohibited Use

• Remove, alter, or obscure any copyright notices, proprietary markings, or attributions
• Use the Document for any commercial purpose other than evaluation for potential engagement with Beyond HNGT Ltd
• Scrape, crawl, or use automated means to access or extract content from the Document
• Share access credentials or bypass access controls
• Screenshot, screen record, or otherwise capture the Document for distribution

5.2 Implementation Restrictions

You shall not implement, execute, or otherwise put into effect any of the recommendations, strategies, technical specifications, or methodologies described in the Document without the prior written consent of Beyond HNGT Ltd. This includes, but is not limited to:

• Implementing SEO recommendations or fixes identified in the audit
• Developing or commissioning the development of systems, portals, or tools based on the specifications described
• Adopting communication strategies, email templates, or workflows outlined in the Document
• Engaging third parties to implement any aspect of the Document
• Using the Document as a specification or brief for internal or external development

6. Confidentiality

6.1 Confidential Treatment

You acknowledge that the Document contains Confidential Information of significant commercial value to Beyond HNGT Ltd. You agree to:

• Treat the Document and all Confidential Information with the same degree of care as you would your own confidential information, but in no event less than reasonable care
• Not disclose the Document or any Confidential Information to any third party without the prior written consent of Beyond HNGT Ltd
• Restrict access to the Document within your organisation to those individuals who have a legitimate need to evaluate it and who are bound by confidentiality obligations no less restrictive than those contained herein
• Notify Beyond HNGT Ltd immediately upon discovery of any unauthorised access, use, or disclosure of the Document

6.2 Exceptions

The confidentiality obligations in this section shall not apply to information that:

• Was already in the public domain at the time of disclosure through no fault of your own
• Was already known to you prior to disclosure, as evidenced by written records
• Is required to be disclosed by law, provided that you give Beyond HNGT Ltd prompt written notice of such requirement and cooperate with any efforts to obtain protective treatment

7. Access Logging and Monitoring

You acknowledge and agree that:

• Your access to this website and the Document is logged and monitored

• Access is authenticated via Cloudflare Access, and associated authentication data is recorded

• Your disclosure of Confidential Information to third parties
• Any implementation of the Document undertaken without prior written consent

11. Term and Termination

11.1 Term

These Terms are effective from the date you first access the Document and shall continue until terminated.

11.2 Termination

Beyond HNGT Ltd may terminate your access to the Document at any time, for any reason, without notice. Upon termination:

• All rights and licences granted to you under these Terms shall immediately cease
• You must immediately cease all use of the Document
• You must destroy any copies of the Document in your possession
• The provisions of these Terms relating to Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification shall survive termination

12. General Provisions

12.1 Entire Agreement

These Terms constitute the entire agreement between you and Beyond HNGT Ltd with respect to the Document and supersede all prior or contemporaneous communications, whether oral or written.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
